Michael Rawlins has been practicing in state and federal courts in Nevada since 1994.  After learning the profession at Nevada's largest law firm, he has partnered with top lawyers until starting his own practice focusing on commercial litigation, real estate, construction litigation, and representing creditors in bankruptcy proceedings.  

Michael has represented Las Vegas resorts, shopping center developers, and government entities in complex litigation matters. He represents small businesses in business disputes and transactional matters.

Michael serves as an arbitrator of commercial disputes for the American Arbitration Association and is a District Court Judge Pro Tempore in the Short Trial Program of the Clark County District Court. He volunteers for abused and neglected children with the Children's Attorneys Project, and serves as a panelist on the Southern Nevada Disciplinary Board for the State Bar of Nevada.




Commercial Litigation

Representative cases: • Defended publishing company and its management from suit brought by minority owner alleging breach of fiduciary duties and minority member oppression. • Defended a telecommunications company and its management from suit brought by minority shareholders seeking receivership. • Defended high-tech start-up entrepreneur from claims brought by former employer alleging trade secret misappropriation. • Defended a national shopping center developer in a partnership dispute relating to a prominent Las Vegas Strip luxury mall. The case involved claims of securities fraud, RICO, and breach of fiduciary duty. • Defended luxury mall developer in anti-trust claim. • Represented a major Las Vegas resort and its parent company in litigation to enforce a purchase and sale agreement of an operating property. • Prosecuted a trademark infringement action to protect one of Las Vegas’s most famous trademarks. • Represented Clark County in construction litigation on a major public construction project and in inverse condemnation proceedings relating to Harry Reid Airport. • Represented seller of business in a breach of contract action to enforce purchase and sale agreement. • Represented numerous large and small shopping centers in landlord/tenant, construction and mechanic’s lien disputes. • Represented employers and employees in cases involving non-competition agreements. • Represented real estate developer in negligence claims against civil engineering firm. • Represented real estate purchaser in quiet title action. • Represented homebuilder in bankruptcy adversary proceeding brought by debtor subcontractor. • Represented guarantors and debtors in workouts with secured lenders. • Represented general contractor against Las Vegas resort in mechanic's lien foreclosure litigation. • Represented consumer lender in FCRA and FDCPA litigation. • Represented creditor in fraudulent conveyance/successor liability litigation in bankruptcy court.

Arbitration Services

Mr. Rawlins has served as a AAA Arbitrator since 2017, primary in commercial disputes. Representative cases: -Commercial lending dispute between law firm and secured lender. -Dispute involving dissolution of luxury car dealership operating company, including claims of mismanagement, fraud, and self dealing. -Dispute concerning alleged fraud in connection with sale of time shares. -Disputes concerning secured lenders and enforcement of factoring agreements. -Dispute between members and managers of LLC engaged in marijuana industry, including claims of breach of operating agreement and self dealing. -Homeowner construction defect dispute. -Design engineer liability dispute involving master planned community. -Contract dispute between engineer and client.

Real Estate / Construction Law

Mr. Rawlins represents clients in real estate litigation and transactions. He has represented many of the largest shopping center developers and commercial landlords in Las Vegas in landlord tenant matters and has taught seminars for the State Bar of Nevada on commercial evictions, landlord tenant issues in Bankrutpcy, and foreclosure litigation. For over 28 years, he has represented contractors and owners in construction disputes, including enforcement of mechanic's liens.
